TERMS OF USE FOR USERS / CLIENTS OF VAKEELSAAB

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “Client”, “You”, or “Your”) and MV HUMHAINA Private Limited, a company incorporated under the laws of India and operating under the brand name “VakeelSaab” (“VakeelSaab”, “Company”, “Platform”, “We”, “Our”, or “Us”). These Terms govern your access to and use of the VakeelSaab platform, including its website, mobile applications, communication infrastructure, software systems, support services, and all associated functionalities made available by the Company from time to time.

By accessing, browsing, registering on, or otherwise using the Platform or any Services provided through the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, together with the Privacy Policy, and any additional policies, guidelines, notices, or disclaimers published by VakeelSaab from time to time. If you do not agree with these Terms or any portion thereof, you must immediately cease all use of the Platform and Services.

DEFINITIONS

For the purposes of these Terms, the following capitalized terms shall have the meanings assigned below:

• “Applicable Law” means all applicable statutes, enactments, acts, rules, regulations, notifications, circulars, guidelines, judicial precedents, ordinances, and governmental directives in force in India.
• “Consultation” means any interaction, communication, discussion, legal assistance, legal opinion, advisory session, document review, or related engagement between a User and a Lawyer facilitated through the Platform.
• “Content” means all text, graphics, interfaces, documents, information, data, software, code, designs, audio, video, trademarks, logos, and other material available on the Platform.
• “Lawyer” means an independent legal professional, advocate, law firm, or legal consultant registered on the Platform for the purpose of offering legal services.
• “Platform” means the technology-enabled infrastructure operated by VakeelSaab including its website, mobile application, communication tools, dashboards, APIs, software systems, and associated technological services.
• “Services” means the technology-enabled facilitation and support services offered by VakeelSaab, including but not limited to:
  • connecting Users with Lawyers based on practice area, jurisdiction, language, experience, or case category;
  • enabling anonymous or identity-protected consultations where permitted;
  • facilitating scheduling and appointment management;
  • communication infrastructure;
  • billing and payment facilitation;
  • document storage and management;
  • workflow support;
  • technology support services; and
  • ancillary platform-related services.
• “User Data” means all information, documents, records, messages, communications, files, personal information, or materials uploaded, shared, transmitted, or submitted by a User through the Platform.

NATURE OF THE PLATFORM

• Vakeel Saab is a technology-driven platform offering end-to-end support services, including helping clients reach lawyers as per their jurisdictional and case genre requirements anonymously, supporting scheduling, billing, document management, and associated platform infrastructure.
• The User expressly acknowledges and agrees that VakeelSaab is not a law firm, does not practice law, and does not itself provide legal advice, legal representation, legal opinions, or litigation services. The Platform merely provides the technological infrastructure and ancillary support services necessary to facilitate interactions between Users and Lawyers. Any legal advice, legal opinion, drafting assistance, representation, or professional service rendered through the Platform is provided solely by independent Lawyers, who remain entirely and exclusively responsible for the professional services rendered by them.
• Nothing contained in these Terms or arising through use of the Platform shall be construed as creating any advocate-client, attorney-client, fiduciary, employment, partnership, joint venture, or agency relationship between the User and VakeelSaab. Any professional relationship, if established, shall exist solely between the User and the concerned Lawyer pursuant to separate engagement terms mutually agreed between them.
• VakeelSaab does not endorse, recommend, warrant, or guarantee the credentials, expertise, quality, competence, integrity, licensing status, or suitability of any Lawyer listed on the Platform. The Company does not guarantee that any Lawyer will accept a matter, provide services within a specific timeline, or achieve any particular legal outcome.

ELIGIBILITY

• By accessing or using the Platform, you represent and warrant that you are at least eighteen (18) years of age, possess the legal capacity to enter into binding contracts under Applicable Law, and are not otherwise prohibited from using the Services. In the event you are using the Platform on behalf of a company, organization, partnership, or any other legal entity, you further represent and warrant that you possess the requisite authority to bind such entity to these Terms.
• You further undertake that all information submitted by you to the Platform shall be true, accurate, complete, current, and lawful. Any misrepresentation, suppression of material facts, or submission of false information may result in suspension or termination of access to the Platform without prejudice to any other rights or remedies available to VakeelSaab under Applicable Law.

USER ACCOUNTS

• In order to access certain Services, Users may be required to create an account on the Platform. You agree to provide accurate and complete registration details and to promptly update such information in the event of any change. You shall be solely responsible for maintaining the confidentiality and security of your account credentials, including usernames, passwords, OTPs, and any other authentication mechanisms associated with your account.
• You acknowledge and agree that you shall be fully responsible for all activities occurring through your account. VakeelSaab shall not be liable for any unauthorized access to your account or any losses arising therefrom. You agree to immediately notify the Company upon becoming aware of any unauthorized access, security breach, misuse, or compromise relating to your account or credentials.

USER CONDUCT AND RESTRICTIONS

• The User agrees that the Platform shall not be used for any unlawful, fraudulent, abusive, defamatory, unethical, or malicious purpose. The User shall not engage in any conduct that interferes with or disrupts the functioning of the Platform, compromises security, infringes the rights of third parties, or violates Applicable Law.
• Without limiting the generality of the foregoing, the User shall not upload, transmit, publish, or share any material that is false, misleading, defamatory, obscene, threatening, infringing, unlawful, or otherwise objectionable. The User shall not impersonate any person or entity, misrepresent identity or affiliation, harass or intimidate Lawyers or other Users, engage in unauthorized solicitation, distribute spam, introduce malicious software, attempt unauthorized access to systems or data, scrape or harvest Platform information, or use the Platform in any manner that may adversely affect the reputation, operations, or legal standing of VakeelSaab.
• The User further acknowledges that legal consultations may involve confidential or sensitive information, and accordingly undertakes not to upload or disclose any document or information in respect of which the User lacks lawful authority or consent.

CONSULTATIONS AND LEGAL SERVICES

• The Platform may facilitate consultations between Users and Lawyers through calls, chat systems, video conferencing, document sharing mechanisms, or other communication channels made available through the Platform or otherwise. Such consultations may include preliminary discussions, legal information sessions, document reviews, strategic discussions, advisory interactions, or other forms of legal assistance.
• The User acknowledges that initial consultations may be general or preliminary in nature and may not constitute exhaustive legal advice or formal legal representation unless specifically agreed between the User and the Lawyer through a separate engagement. Users are advised not to solely rely on preliminary consultations for critical legal decisions without obtaining detailed professional advice and conducting independent verification where necessary.
• Lawyers listed on the Platform retain absolute professional discretion regarding acceptance or rejection of matters, determination of fees, timelines for service delivery, requests for additional information or documentation, and decisions concerning continuation or discontinuation of representation. VakeelSaab does not interfere with professional decisions made by Lawyers and shall not be responsible for the quality, accuracy, legality, or effectiveness of legal advice or services rendered by Lawyers.
• The User expressly acknowledges that legal outcomes are inherently uncertain and dependent on numerous factors beyond the control of the Platform, and accordingly VakeelSaab makes no representation, warranty, or guarantee regarding the success, outcome, or resolution of any legal matter.

PAYMENTS AND BILLING

• VakeelSaab presently does not charge any fee from Clients merely for accessing or using the Platform for the purpose of identifying, connecting, or communicating with Lawyers. The Platform operates solely as a technology-enabled intermediary facilitating interactions between Users and independent legal professionals. VakeelSaab neither prescribes, determines, controls, recommends, negotiates, influences, nor has any authority or involvement whatsoever in relation to the professional fees, consultation charges, retainership amounts, success fees, appearance charges, drafting fees, or any other consideration that may be quoted or charged by Lawyers for the legal services rendered by them. All such fees and commercial terms are independently determined solely by the concerned Lawyer based on the nature, complexity, scope, urgency, and requirements of the matter and shall constitute a direct and independent arrangement between the User and the concerned Lawyer.
• The User expressly acknowledges and agrees that VakeelSaab is not a party to any fee arrangement, engagement terms, billing understanding, or commercial negotiation entered into between the User and the Lawyer and shall not be responsible or liable for any dispute, disagreement, allegation of overcharging, deficiency of services, refund claim, non-performance, or dissatisfaction arising in relation to fees or payments charged by Lawyers. VakeelSaab does not guarantee the reasonableness, competitiveness, affordability, or uniformity of fees charged by Lawyers listed on the Platform.
• To the extent any payment facilitation functionality is made available through the Platform for convenience purposes, such payments may be processed through independent third-party payment gateways, banking channels, or financial service providers. VakeelSaab shall not be liable for payment failures, transaction errors, banking issues, unauthorized transactions, gateway downtime, delays, technical failures, or any acts or omissions attributable to such third-party service providers.
• The User further agrees to bear all applicable taxes, duties, levies, statutory charges, and governmental impositions arising in connection with use of the Services.

USER DATA, DOCUMENTS, AND CONFIDENTIAL INFORMATION

• The Platform may permit Users to upload, store, transmit, or share documents and information for the purpose of obtaining consultations or related Services. The User represents and warrants that all User Data shared through the Platform is lawful, accurate, non-infringing, and uploaded with all necessary rights, permissions, consents, and authorizations.
• The User acknowledges that VakeelSaab acts solely as an intermediary technology service provider facilitating storage and transmission of such information and does not independently verify the accuracy, legality, authenticity, completeness, or reliability of User Data.
• The User shall remain solely responsible for maintaining backups of all important documents and records. While VakeelSaab may implement reasonable technological and organizational safeguards for protection of User Data, the Company does not guarantee absolute security or uninterrupted preservation of data and shall not be liable for loss, corruption, unauthorized access, or interception arising from events beyond its reasonable control.
• By uploading User Data to the Platform, the User grants VakeelSaab a limited, non-exclusive, worldwide, revocable license to host, store, process, reproduce, transmit, and display such User Data solely to the extent necessary for operating the Platform and providing the Services.

PRIVACY

• The collection, processing, storage, and use of personal information shall be governed by the Privacy Policy of VakeelSaab, as amended from time to time. By using the Platform, the User consents to such collection and processing in accordance with the Privacy Policy and Applicable Law.
• The User acknowledges that internet-based transmissions are inherently vulnerable to interception, cyber-attacks, unauthorized access, and technological failures. While VakeelSaab endeavors to maintain commercially reasonable security practices, no system can guarantee absolute security, and the User uses the Platform at their own risk.

INTELLECTUAL PROPERTY

• All rights, title, and interest in and to the Platform, including its software, source code, interface design, layout, algorithms, trademarks, logos, branding elements, workflows, compilations, content, and proprietary systems shall remain the exclusive property of VakeelSaab and/or its licensors. Nothing contained in these Terms shall operate to transfer or assign any intellectual property rights to the User.
• The User shall not copy, reproduce, modify, distribute, reverse engineer, decompile, commercially exploit, create derivative works from, or otherwise misuse any portion of the Platform without prior written authorization from VakeelSaab.

THIRD-PARTY SERVICES

• The Platform may contain integrations, links, tools, software, or services provided by independent third parties, including payment gateways, communication providers, analytics services, cloud infrastructure providers, and external websites. Such third-party services are beyond the control of VakeelSaab, and the Company neither endorses nor assumes responsibility for the content, practices, functionality, legality, or security standards of such third parties. The User acknowledges that use of third-party services shall be governed by the terms and policies of the relevant third party and shall be undertaken entirely at the User’s own risk.

PLATFORM AVAILABILITY AND TECHNICAL ISSUES

• While VakeelSaab endeavors to maintain uninterrupted availability and functionality of the Platform, the Platform does not warrant or guarantee that the Platform or Services shall be available, accessible, secure, error-free, or uninterrupted at all times. Access to the Platform may be temporarily suspended, restricted, or interrupted due to scheduled maintenance, system upgrades, technical failures, third-party service disruptions, internet issues, security concerns, or circumstances beyond the reasonable control of VakeelSaab. The User acknowledges that the Company shall not be liable for any loss, delay, inability to access Services, communication failure, or disruption arising from device incompatibility, poor internet connectivity, telecommunications issues, or other technical limitations affecting the User’s access to or use of the Platform. Users shall be solely responsible for maintaining compatible devices, software, and stable internet connectivity necessary for accessing the Services.

DISCLAIMERS AND LIMITATION OF LIABILITY

• The Platform and Services are provided strictly on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permissible under Applicable Law, VakeelSaab disclaims all warranties including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, reliability, accuracy, and uninterrupted operation. VakeelSaab shall not be responsible or liable for any acts, omissions, negligence, misconduct, malpractice, errors, representations, advice, or services provided by Lawyers. The User acknowledges that reliance on any legal advice or consultation obtained through the Platform shall be entirely at the User’s own discretion and risk.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE INDIAN LAW, VAKEELSAAB DISCLAIMS ALL LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF INCOME, LOSS OF PROFITS, DATA BREACHES, BUSINESS INTERRUPTION, REPUTATIONAL HARM, PERSONAL INJURY, OR THIRD-PARTY CLAIMS ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM OR SERVICES.

INDEMNIFICATION

• The User agrees to fully defend, indemnify, and hold harmless VakeelSaab, its affiliates, directors, officers, employees, agents, licensors, and service providers from and against any claims, proceedings, liabilities, damages, losses, penalties, costs, and expenses, including reasonable attorneys’ fees and legal costs, arising out of or relating to the User’s use of the Platform, violation of these Terms, infringement of third-party rights, unlawful conduct, User Data uploaded or transmitted by the User, or disputes between the User and any Lawyer or third party.

TERMINATION AND SUSPENSION

• VakeelSaab reserves the absolute right, at its sole discretion and without prior notice, to suspend, restrict, disable, or terminate access to the Platform or Services where the Platform believes that the User has violated these Terms, engaged in fraudulent or unlawful activity, created legal or reputational risk, or otherwise acted in a manner prejudicial to the interests of the Company, Lawyers, or other Users.
• Termination or suspension shall not affect accrued rights, liabilities, obligations, disclaimers, indemnities, or provisions intended by their nature to survive termination.

GOVERNING LAW AND DISPUTE RESOLUTION

• These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, claim, or disagreement arising out of or relating to these Terms, the Platform, or the Services shall first be attempted to be resolved amicably through good-faith discussions.
• In the event such dispute remains unresolved within sixty (60) days, the dispute shall be referred to and finally resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually appointed by the Platform and the User. The seat and venue of arbitration shall be New Delhi, India. The proceedings shall be conducted in the English language, and the arbitral award shall be final and binding upon the parties.
• Subject to the foregoing, courts situated at New Delhi shall have exclusive jurisdiction.
• The Client waives any right to participate in class-action lawsuits.

MISCELLANEOUS

• These Terms constitute the entire agreement between the User and VakeelSaab concerning use of the Platform and supersede all prior understandings, discussions, or arrangements relating thereto. If any provision of these Terms is held invalid or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect.
• Failure by VakeelSaab to enforce any provision of these Terms shall not constitute a waiver of such provision or any other rights available to the Company.
• VakeelSaab shall not be liable for any delay, interruption, or failure in performance resulting from causes beyond its reasonable control, including acts of god, governmental actions, cyber incidents, internet failures, pandemics, labor disruptions, power outages, or force majeure events.
• The Company reserves the right to modify, amend, or update these Terms at any time. Continued use of the Platform following publication of revised Terms shall constitute acceptance of such revised Terms.
• You may not assign, transfer, or otherwise deal with your account or rights under these Terms. VakeelSaab may assign or transfer its rights and obligations under these Terms without restriction.
